1. Purpose and Scope
Ridely LLC ("Ridely") operates a carpooling platform exclusively for college students, accessible via our website and mobile application. This platform is designed to connect student drivers with student passengers traveling in the same direction, facilitating shared trips and cost splitting (hereafter referred to as the "Platform").
These Terms and Conditions outline the rules and regulations governing the use of our Platform. We urge you to review them thoroughly. It's important to understand that Ridely does not participate in or oversee any agreements or arrangements made between users of our platform.
By selecting "Sign Up with College Email" or "Login", you confirm that you have read, understood, and agreed to these Terms and Conditions in their entirety.
Should you access a Ridely platform serving a different geographic area, be aware that:
a) The specific terms and conditions of that platform apply
b) The privacy policy of that platform governs your data
c) Local laws and regulations of that area are in effect
Please note that accessing platforms in other areas may require the transfer of your account information, including personal data, to the entity managing that platform. Ridely maintains the right to limit Platform access for users identified as being outside our designated service areas or not affiliated with an accredited college or university.
2. Definitions In This Document
“Advert” means an advertisement about a Trip posted on the Platform by a Driver;
“Ridely” has the meaning given to it in Article 1 above;
“T&Cs” means these Terms and Conditions;
“Account” means the account that must be created in order to become a Member and access certain services offered by the Platform;
“Driver” means the Member using the Platform, to offer to transport another individual in exchange for the Cost Contribution, for a Trip and at a time defined by the Driver alone;
“Reservation Confirmation” has the meaning given to it in Article 4.2 below;
“User Content” has the meaning given to it in Article 11.2 below
“Service Fee” has the meaning given to it in Article 5.2 below;
“Member” means any individual having created an Account on the Platform;
“Passenger” means the Member having accepted the offer to be transported by the Driver or, where applicable, the person on whose behalf a Member has booked a seat.
“Cost Contribution” means, for a given Trip, the sum of money requested by the Driver and accepted by the Passenger for his contribution to the travel costs.
“Seat” means the seat booked by a Passenger in the Driver’s vehicle.
“Platform” has the meaning given to it in Article 1 above.
“Services” means all services delivered by Ridely via the Platform;
“Website” means the website accessible at the address www.theridelyapp.com .
“Segments” has the meaning given to it in Article 4.1 below;
“Trip” means the journey subject of an Advert published by a Driver on the Platform, and for which he agrees to transport Passengers in exchange for the Cost Contribution.
3. Registration on the Platform and creation of an Account
3.1 Eligibility for Platform Registration
To use the Platform, individuals must be at least 18 years old. Minors are strictly forbidden from registering on the platform. By accessing, using, or creating an account on the Platform, you confirm and guarantee that you are 18 years of age or older.
3.2 Creating An Account
The Platform allows Members to create and view Adverts, as well as interact with one another to reserve a Seat. While you can view Adverts without being registered, you must create an Account and become a Member in order to post an Advert or book a Seat.
To set up your Account, you can:
(i) complete all required fields on the registration form.
To register on the Platform, you must read and accept these Terms and Conditions as well as the Privacy Policy.
When creating your Account, regardless of the method chosen, you agree to provide accurate and truthful information and to update it through your profile or by notifying Ridley to ensure its relevance and accuracy throughout your contractual relationship with Ridley.
If you register via email, you agree to keep the password you selected upon creating your Account confidential and not share it with anyone. If you lose or disclose your password, you agree to notify Ridley immediately. You are solely responsible for any use of your Account by third parties unless you have explicitly informed Ridley of the loss, unauthorized use by another party, or disclosure of your password.
You agree not to create or use any Accounts other than the one initially created under your identity or that of a third party.
3.3 Identity Confirmation
Ridley may implement a system to validate certain information you provide in your profile to enhance transparency, build trust, and prevent or detect fraudulent activities. This may include verifying your phone number or reviewing identification documents you submit.
Please note that any reference to "verified" information or similar terms on the Platform or within our Services only indicates that a Member has completed the existing verification process on the Platform or Services. This process aims to provide additional information about the Member you may travel with. Ridley cannot guarantee the accuracy, reliability, or validity of the information subject to the verification process.
4. Platform Usage
4.1 Creating Adverts
Members who meet the necessary requirements can publish Adverts on the Platform. To do so, you'll need to input details about your planned journey, including:

Requested Cost Contribution amount
When you create your advert, you have the option to specify intermediate stops where you're willing to pick up or drop off Passengers. The portions of the journey between these designated stops, or between a stop and the trip's starting point or final destination, are referred to as "Segments".
To create an Advert, you must meet all of the following criteria:
1. Possess a current, valid driver's license
2. Only list vehicles that you own or have explicit permission to use for carpooling purposes
3. Be and remain the primary driver of the vehicle in your Listing
4. Ensure the vehicle has active third-party insurance coverage
5. Have no medical conditions that prevent you from driving safely
6. Use a passenger vehicle with four wheels and no more than seven seats
7. Refrain from posting duplicate Listings for the same journey on the Platform
8. Offer no more seats than are actually available in your vehicle
9. Provide seatbelts for all offered seats, regardless of vehicle approval status
10. Operate a well-maintained vehicle that meets all legal requirements, including a current safety inspection certificate
As a user of Ridely, you acknowledge that you bear full responsibility for the content of any Advert you publish on the Platform. You affirm and guarantee that all information in your Advert is accurate and truthful, and you commit to carrying out the Trip as described in your Advert.
If your Advert adheres to the Terms, it will be published on the Platform and visible to Members and non-member visitors searching on the Platform or on websites of Ridely's partners. Ridely maintains the right, at its discretion and without prior notice, to decline publication or remove any Advert that doesn't comply with the Terms or that Ridely considers potentially harmful to its reputation, the Platform, or the Services.
You understand and agree that the criteria used for ranking and displaying your Advert among other Adverts are determined solely by Ridely.
4.2 Reserving a Seat for Shared Rides
When a Passenger shows interest in an Advert, they can submit an online reservation request. This request is then either:
1. Automatically confirmed (if the Driver enabled this option when creating their Advert), or
2. Manually approved by the Driver
During the reservation process, the Passenger completes an online payment covering the Cost Contribution and any applicable Platform Fees. Once Ridely receives the payment and the Driver approves the request (if manual approval is required), the Passenger receives a Reservation Confirmation.
Drivers who opt for manual approval of reservation requests must respond within a specified timeframe. If they fail to do so, the request will automatically expire, and Ridely will refund the Passenger's payment in full.
Upon Reservation Confirmation, Ridely provides the Driver's phone number to the Passenger (and vice versa). From this point forward, you are responsible for fulfilling the agreement between you and the other Member.

When using Ridely's Services as a Passenger or Driver, you must use your real identity. The Driver and Passenger should match the personal information provided to Ridely and other Trip participants.
Ridely allows Members to reserve Seats for others accompanying them on the trip. If you're booking multiple Seats, you must be part of the group traveling. It's not permitted to book Seats for others without being present on the Trip yourself. When booking for additional passengers, you must provide the Driver with accurate details of each person, including their full name, age, and phone number. Additionally, these additional passengers are not required to be college students to ride.
Booking a Seat for an unaccompanied minor under 13 is strictly forbidden. For unaccompanied minors aged 13 and above, you must obtain the Driver's prior consent and provide signed authorization from the minor's legal guardians.
The Platform is designed for transporting individuals only. Booking Seats for objects, packages, unaccompanied animals, or other items is not allowed.
Lastly, you may not post an Advert on behalf of another Driver. All Adverts must be for trips you personally intend to drive.
4.4. Feedback System
4.4.1 How It Works
Ridely encourages Members to share their experiences by leaving feedback about their travel companions. As a Passenger, you can review your Driver, and as a Driver, you can review your Passengers. However, you're not allowed to review other Passengers if you were also a Passenger, nor can you review anyone you didn't actually travel with or weren't scheduled to travel with.
Feedback becomes visible on the Platform under these conditions:
1. Immediately after both parties have submitted their reviews, or
2. 14 days after the first review is submitted, whichever comes first.
If you receive a review, you have a 14-day window to respond. Both the initial review and your response (if any) will be displayed on your profile.
4.4.2 Content Oversight
Ridely maintains the right to withhold publication or remove any review, question, comment, or response that it determines violates the Terms. This ensures the platform remains a safe and constructive space for all users.
4.4.3 Account Restrictions
Ridely may take action on your account if certain conditions are met:
1. You have received a minimum of three reviews
2. Your average rating is 3 or lower
In such cases, Ridely may:
- Temporarily suspend your account
- Limit your access to certain Services
- Terminate your agreement with the platform
These measures are in place to maintain the quality and reliability of the Ridely community.
4.4.4 Communication
Members can exchange messages through our Platform solely to discuss and coordinate Carpooling Trips. These messages are referred to as "Conversations."
To maintain the safety and integrity of our service, Ridely employs automated systems and algorithms to analyze Conversation content. This analysis serves multiple purposes:
1. Fraud prevention
2. Service enhancement
3. Customer support improvement
4. Enforcement of member agreements, including these Terms
If our system detects content in a Conversation that indicates fraudulent or illegal activity, attempts to bypass the Platform, or violates these Terms, Ridely may take the following actions:
1. Block the content from being published
2. Issue a warning to the sender, reminding them of their obligation to comply with applicable laws and these Terms
3. Suspend the member's Account as outlined in Section 9 of these Terms
It's important to note that Ridely's use of automated analysis tools does not constitute an obligation to actively monitor or search for unlawful activities or content on the Platform. To the extent permitted by law, Ridely bears no liability for this automated process.
5. Financial Terms
Using the Platform to register, search, view, and post Adverts is free. However, Bookings are subject to charges as outlined below.
5.1 Cost Contribution and Pricing
For Carpooling trips, you, as the Driver, are solely responsible for setting the Cost Contribution. It's strictly forbidden to use our Platform for profit. You agree to limit the Cost Contribution requested from Passengers to your actual trip expenses. Failure to comply may result in legal reclassification of the transaction, for which you would be solely liable.
When creating a Carpooling Advert, Ridely will suggest a Cost Contribution amount based on factors like trip type and distance. This suggestion is a guideline, and you may adjust it to reflect your actual expenses. To prevent misuse, Ridely imposes limits on Cost Share adjustments.
5.2 Service Fees
Ridely applies Service Fees to the Cost Contribution amount for all Trips booked through the platform. This fee is applicable to both Drivers and Passengers and is added to the seat price for most rides available on the application.
The Service Fee is essential for ensuring that our platform remains reliable and operates smoothly, while also helping to build a trustworthy carpooling community. This fee enables us to provide a range of critical services, including customer service, a secure payment system, anti-fraud protection, and member profile verification.
Calculation of the Service Fee
The amount of the Service Fee varies based on the distance of the ride and the price set by the Driver. Typically, it ranges from approximately 15% to 20% of the total price paid by the Passenger. The passenger Service Fee will be automatically deducted from the full amount paid by the Passenger before the Driver receives their portion for the ride. This deduction is clearly displayed during the booking process, allowing users to understand the total cost before confirming their reservation. The driver's Service Fee is automatically deducted from the full amount paid from the passenger.
Responsibilities Regarding the Service Fee
- For Drivers: The Service Fee for drivers is automatically deducted from the total amount paid by the Passenger for the ride. As a Driver, you will receive the remaining balance after this fee has been subtracted from the amount you set for your ride.
- For Passengers: When searching for a ride, the price indicated on the search results page includes the Service Fee. The exact amount will be specified on the payment page just before you complete your booking.
The Service Fee is a vital component of our platform that ensures we can continue providing high-quality service while maintaining a safe and reliable carpooling environment for both Drivers and Passengers.
5.3 Payment Methods and Distribution of Cost Contribution to the Driver
5.3.1 Collection Authorization
By using the Platform as a Driver for Trips, you grant Ridely the authority to collect the Cost Contribution on your behalf.
As part of the booking process, whether accepted manually or automatically, Ridely will collect the total amount paid by the Passenger, which includes both the Service Fees and the Cost Contribution.
The Cost Contributions collected by Ridely, minus the driver service fee, are deposited into a dedicated account for Driver payments.
You acknowledge and agree that none of the funds received by Ridely on your behalf will accrue interest. You also commit to responding promptly to any requests from Ridely or relevant authorities, particularly those related to anti-money laundering efforts. This includes providing any necessary proof of address or identity upon request.
If you fail to respond to these requests, Ridely reserves the right to take appropriate actions, which may include freezing the funds collected and/or suspending your Account and/or terminating these Terms and Conditions.
5.3.2 Payment of the Cost Contribution to the Driver
After the Trip concludes, Passengers have a period of 24 hours to submit any claims regarding the Trip to Ridely. If no claims are made within this timeframe, Ridely will consider the Trip confirmed.
Once the Trip is confirmed, either explicitly or implicitly, you, as the Driver, will have a credit available on your Account. This credit reflects the total amount paid by the Passenger at the time of booking, minus the Service Fees, which is essentially the Cost Contribution received from the Passenger.
Upon confirmation of the Trip by the Passenger, you have the option to instruct Ridely to transfer the funds to your bank account (by entering your bank details in advance in your Account) or to your PayPal or Line Pay account (by entering your PayPal email address in advance in your Account).
The payment request will be processed on the first working day following your instruction or, if no instruction is given, on the first working day after the funds have been credited to your profile (assuming Ridely has your banking information).
If any funds remain unclaimed after the applicable time limits, those amounts will be considered as belonging to Ridely.
6. Non-Commercial Use of the Services and Platform
You agree to utilize the Services and the Platform solely for the purpose of connecting with individuals who wish to share a Trip with you, and not for any business or commercial activities.
As a Driver, you commit to not charging a Cost Contribution that exceeds your actual expenses, ensuring that you do not generate a profit. It is essential that you, as the Driver, account for your own share of the costs associated with the Trip. You are fully responsible for determining your incurred expenses and for ensuring that the amount requested from your Passengers does not surpass these costs (excluding your own share).
Ridely reserves the right to suspend your Account if you use a chauffeur-driven vehicle, taxi, company car, or any other business vehicle to generate profit through the Platform. Upon request from Ridely, you agree to provide documentation such as your vehicle registration certificate or any other proof that demonstrates your authorization to use this vehicle on the Platform without profiting from it.
Additionally, Ridely may suspend your Account, limit your access to Services, or terminate these Terms and Conditions if your activities on the Platform suggest that you are profiting from the nature, frequency, number of Passengers, or Cost Contribution associated with the Trips offered.
7. Cancellation Policy
7.1 Trip Cancellation
Both Drivers and Passengers have the right to cancel a Trip at any time, and Ridely does not provide any guarantees regarding cancellations made by either party for any reason.
The cancellation of a Seat after Booking Confirmation is subject to the following conditions:
Cancellation by the Driver:
If a Driver cancels the Trip or fails to arrive at the meeting point within 10 minutes of the agreed time, the Passenger will receive a full refund of the amount paid, including the Cost Contribution and any associated Service Fees.
Cancellation by the Passenger:
- If a Passenger cancels more than 24 hours before the scheduled departure time indicated in the Advert, they will receive a refund of the Cost Contribution only. The Service Fees will be retained by Ridely, and the Driver will not receive any payment.
- If a Passenger cancels within 24 hours of the scheduled departure time but more than 30 minutes after Booking Confirmation, they will be refunded half of the Cost Contribution paid at the time of booking. The Service Fees will be retained by Ridely, and the Driver will receive 50% of the Cost Contribution.
- If a Passenger cancels within 24 hours of departure and within 30 minutes after Booking Confirmation, they will receive a full refund of the Cost Contribution. The Service Fees will be retained by Ridely, and the Driver will not receive any payment.
- If a Passenger cancels after the scheduled departure time or fails to arrive at the meeting point within 10 minutes of the agreed time, no refund will be issued. In this case, the Driver will receive the full Cost Contribution, while Ridely retains the Service Fees.
When a cancellation occurs before departure due to the Passenger, any Seats that are canceled will automatically become available for other Passengers to book online, subject to these Terms and Conditions.
Refund processing typically takes 5-7 working days to credit the amount back to the customer’s bank account.
Ridely reserves the right to assess the legitimacy of refund requests at its sole discretion based on available information.
8. User Conduct on the Platform
8.1. Responsibilities of All Users
You acknowledge that you are solely responsible for adhering to all applicable laws, regulations, and obligations related to your use of the Platform.
In addition, while utilizing the Platform and during Trips, you agree to the following:
(i) You will not use the Platform for any professional, commercial, or profit-oriented purposes.
(ii) You will not provide Ridely (including during the creation or updating of your Account) or other Members with any false, misleading, malicious, or fraudulent information.
(iii) You will refrain from expressing yourself or behaving in a manner that is defamatory, harmful, obscene, pornographic, vulgar, offensive, aggressive, unwarranted, violent, threatening, harassing, racist, xenophobic, or sexually suggestive. This includes inciting violence, discrimination, or hatred, promoting illegal activities or substances, or engaging in any behavior contrary to the objectives of the Platform that may infringe upon the rights of Ridely or third parties or violate public morals.
(iv) You will respect and not infringe upon Ridely’s rights and image, including its intellectual property rights.
(v) You will not create more than one Account on the Platform nor register an Account under someone else’s name.
(vi) You will not attempt to circumvent the online booking system by sharing your contact information with another Member to arrange bookings outside of the Platform and avoid paying Service Fees.
(vii) You will not reach out to another Member for reasons other than discussing the terms of carpooling.
(viii) You will not accept or make payments outside of the Platform.
(ix) You will comply with these Terms and Conditions as well as the Privacy Policy; and
8.2 Responsibilities of Drivers
When using the Platform as a Driver, you agree to the following commitments:
(i) You will adhere to all laws, regulations, and codes related to driving and vehicle operation. This includes maintaining valid civil liability insurance throughout the Trip and possessing a current driving license.
(ii) You will ensure that your insurance policy covers carpooling or motorbike pooling and that your Passengers are recognized as third parties within your vehicle, thereby being protected by your insurance for the duration of the Trip, including cross-city travel.
(iii) You will not engage in any risky behavior while driving and will refrain from consuming any substances that could impair your attention or ability to drive safely.
(iv) You will only post Adverts for Trips that you genuinely intend to undertake.
(v) You will conduct the Trip as outlined in your Advert, including adhering to any specified routes (such as whether or not to use motorways), and you will honor the agreed-upon times and locations for meeting and dropping off Passengers.
(vi) You will not exceed the number of Passengers indicated in your Advert based on the available Seats.
(vii) You will operate a vehicle that is in good working condition and complies with all relevant legal requirements.
(viii) You will provide Ridely or any Passenger who requests it with your driving license, vehicle registration certificate, insurance certificate, and any other documentation proving your eligibility to operate the vehicle as a Driver on the Platform.
(ix) In the event of delays or changes to the Trip, you will promptly inform your Passengers.
(x) For intercity Trips, you will have available documentation proving your identity if requested by Passengers or authorities.
(xi) You will wait at the designated meeting place for at least 10 minutes past the agreed time for Passengers to arrive.
(xii) You will not post an Advert for a vehicle that you do not own or are not authorized to use for carpooling or motorbike pooling purposes.
(xiii) You will ensure that you can be reached by your Passengers via the phone number registered on your profile.
(xiv) You will not seek to make a profit through the Platform.
(xv) You will not have any medical conditions or contraindications that would impair your ability to drive safely.
(xvi) You will conduct yourself appropriately and responsibly during the Trip, in line with the principles of carpooling .
(xvii) You will not refuse any booking based on race, color, ethnicity, national origin, religion, sexual orientation, marital status, disability, physical appearance, pregnancy, economic vulnerability, name, place of residence, health status, political beliefs, or age.
8.3 Passenger Responsibilities
As a Passenger using the Platform, you commit to:
(i) Maintain appropriate behavior during the Trip to avoid distracting the Driver or disturbing other Passengers.
(ii) Show respect for the Driver's vehicle and maintain its cleanliness.
(iii) Promptly notify the Driver of any delays you may experience.
(iv) Wait for the Driver at the designated meeting point for at least 10 minutes beyond the agreed time.
(v) Provide Ridely or any requesting Driver with your identification card or other valid proof of identity.
(vi) Refrain from bringing any items, goods, substances, or animals that could interfere with the Driver's concentration or violate any applicable laws.
(vii) For intercity Trips, carry and be prepared to present to the Driver or relevant authorities any documents proving your identity.
(viii) Ensure you can be reached via the phone number registered on your profile, especially at the meeting point.
If you book Seats on behalf of others, as permitted under Article 4, you are responsible for ensuring these third parties comply with this section and the entire Terms and Conditions. Ridely reserves the right to take action against your Account, including suspension, limiting access to Services, or termination of these Terms, if a third party for whom you booked violates these conditions.
9. Account Suspension, Access Limitation, and Termination
You have the right to end your contractual relationship with Ridely at any time, without cost or justification. To do so, simply navigate to the "Close my account" section in your Profile settings.
Ridely reserves the right to take the following actions if you:
(i) Violate these Terms and Conditions, including but not limited to the Member obligations outlined in Sections 6 and 8
(ii) Exceed the limits specified in Section 4: Platform Usage
(iii) Give Ridely reasonable cause to believe such action is necessary to protect its security, integrity, or that of its Members or third parties, or to prevent fraud or aid investigations:
1. Immediately terminate the agreement between you and Ridely without prior notice
2. Remove or prevent the posting of any review, Advert, message, content, booking request, or any other content you've shared on the Platform
3. Restrict your access to and use of the Platform
4. Temporarily or permanently suspend your Account
When possible, you will be notified of these measures and given an opportunity to provide an explanation to Ridely. Ridely will then determine, at its discretion, whether to lift or maintain the implemented measures.
10. Personal Data
While you use our Platform, Ridely will gather and process certain personal information about you. By creating a Member account and utilizing our services, you acknowledge and consent to Ridely's handling of your personal data. This data processing will be conducted in accordance with relevant laws and our Privacy Policy guidelines. We encourage you to review our Privacy Policy for a comprehensive understanding of how we manage your personal information.
11. Content Posted
11.1 Content Published By Ridely
Ridely grants you a limited, non-exclusive, personal, and non-transferable right to use the Platform and Services. This license is strictly for your personal, private, and non-commercial use, in alignment with the Platform's intended purposes.
Any other use or exploitation of the Platform, Services, or their content is prohibited without Ridely's explicit written consent. Specifically, you must not:
(i) Reproduce, modify, adapt, distribute, publicly display, or disseminate the Platform, Services, or their content, except as expressly permitted by Ridely.
(ii) Decompile or reverse engineer the Platform or Services, unless allowed by applicable laws.
(iii) Extract or attempt to extract a substantial portion of the Platform's data, including through the use of data mining tools or similar data collection methods.
11.2 Content You Post on the Platform
To facilitate the Services and align with the Platform's purpose, you grant Ridely a non-exclusive license to utilize the content and data you share while using the Services (referred to as your "User Content"). This authorization allows Ridely to distribute your User Content globally and throughout the duration of your relationship with Ridely, enabling the reproduction, representation, adaptation, and translation of your User Content as follows:
(i) You permit Ridely to reproduce all or part of your User Content on any digital storage medium, whether currently known or developed in the future. This includes any server, hard drive, memory card, or similar media, in any format or by any method necessary for storage, backup, transmission, or downloading related to the operation of the Platform and the Services provided.
(ii) You allow Ridely to adapt and translate your User Content and reproduce these adaptations on any digital media mentioned in point (i) above. This includes modifications for formatting purposes while respecting your moral rights, ensuring compliance with the Platform's graphic standards and technical requirements for publication.
12. Ridely's Role
Ridely operates as an online mobility platform where Members can create and share Trip Adverts for carpooling purposes. These Adverts are visible to other Members, allowing them to view trip details and, if desired, book a Seat directly with the Member who posted the Advert.
By using the Platform and accepting these Terms and Conditions, you acknowledge that Ridely is not a party to any agreements made between Members for sharing trip costs.
Ridely does not have control over the conduct of its Members or Platform users. We do not own, operate, provide, or manage the vehicles featured in the Adverts, nor do we offer any Trips directly on the Platform.
You understand and agree that Ridely does not verify the accuracy, truthfulness, or legality of Adverts, Seats, or Trips offered. As a carpooling intermediary, Ridely does not provide transport services or act as a carrier. Our role is limited to facilitating access to the Platform and connecting users.
Ridely's innovative technology optimizes your journey by identifying the most efficient routes and matching you with suitable rides for your travel needs. Our advanced algorithms prioritize efficiency to ensure a swift and seamless travel experience.
Members (Drivers and Passengers) are solely and fully responsible for their actions on the Ridely platform.
As an intermediary service, Ridely cannot be held liable for the actual occurrence of a Trip, particularly due to:
(i) Inaccurate information provided by the Driver regarding a carpooling Trip.

Ridely's role is to facilitate connections between users, but we do not guarantee the behavior of individuals or the outcome of any Trip arranged through our platform. Users should exercise caution and use their best judgment when participating in shared rides.
13. Platform Operation, Availability, and Functionality
Ridely is committed to ensuring that the Platform is accessible 24 hours a day, 7 days a week. However, users should be aware that access may be interrupted or suspended without prior notice due to various factors. These can include technical maintenance, which may require routine or emergency downtime, as well as system updates aimed at improving functionality or security. Additionally, data migration processes or large-scale system upgrades could result in temporary inaccessibility. Network constraints and issues beyond our control—like internet service provider outages or server problems—may also affect the availability of the Platform.
In most cases, we strive to limit such interruptions to low-usage periods. However, urgent maintenance or unforeseen technical issues may necessitate immediate action at any time. Furthermore, Ridely reserves the right to modify, suspend, or discontinue any aspect of the Platform at our sole discretion. This may involve altering existing features, introducing new functionalities, removing underutilized services, or changing the user interface design. Such modifications may be temporary or permanent and can range from partial changes to complete changes.
We will make reasonable efforts to communicate significant changes to our users through in-app notifications, email updates, or announcements on our website. While we strive for maximum uptime and accessibility, Ridely does not guarantee uninterrupted access to the Platform. Users are encouraged to plan accordingly and have alternative arrangements in place for critical travel needs.
